This document outlines the estimated earnings for WhaTalker affiliates based on the number of referred customers and selected subscription plans. It includes both monthly commissions (limited to 4 months for standard affiliates) and one-time annual commissions for full-year upfront payments.

WhaTalker Affiliate Collaboration Agreement

Agreement Summary

This Affiliate Collaboration Agreement (“Agreement”) outlines the terms under which you, either as an individual or as an authorized representative of a business entity (“Affiliate”), may promote WhaTalker’s products and services as part of our Official Affiliate Program. By submitting your application or actively participating in the Program, you acknowledge that you understand and accept the terms outlined herein. If you do not agree to all the terms, you must not proceed with registration or engage in any affiliate activities.

This Agreement constitutes a legally binding contract between you and WhaTalker Inc., governed by applicable laws and subject to modifications at WhaTalker’s sole discretion. The company reserves the right to update this Agreement at any time without prior notice. It is the affiliate’s responsibility to periodically review the most current version.

Affiliate Status and Designation

Once your application has been reviewed and approved, WhaTalker will confirm your acceptance into the Program. This grants you a limited, non-exclusive, and non-transferable right to promote and refer users to designated WhaTalker services using affiliate links or codes provided by the company.

You acknowledge that you are not an employee, agent, or legal representative of WhaTalker. You may not present yourself as such or make commitments on behalf of the company.

WhaTalker reserves the right to deny or revoke affiliate status at its sole discretion, with no obligation to justify its decision.

Eligibility Requirements

The Affiliate Program is intended for independent digital marketers, content creators, online educators, bloggers, businesses, and professionals with relevant audiences. However, the following parties are not eligible to participate:

• Official WhaTalker reseller partners and their consultants
• Employees of resellers and their immediate family members
• Employees of WhaTalker and their close relatives
• Individuals or organizations with conflicts of interest or affiliations with competing platforms

Simultaneous participation in other WhaTalker affiliate, referral, or partnership programs is not permitted without express written authorization.

Responsibilities and Conduct

As an affiliate, you agree to uphold the integrity and reputation of the WhaTalker brand by adhering to the following principles:

• Promote services in a transparent, truthful, and ethical manner
• Avoid deceptive, manipulative, or unauthorized tactics
• Use only marketing materials that are approved and aligned with brand guidelines
• Refrain from sending unsolicited emails or spam
• Comply with all applicable local and international advertising and data protection laws

WhaTalker reserves the right to review and request modifications to, or removal of, any content or campaigns that do not comply with these standards.

Legal Notice and Limitation of Liability

Participation in the Program is at your own risk. WhaTalker shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue, data, or reputation, arising from your participation in the Program. WhaTalker’s total liability shall not exceed the amount of commissions earned by you in the ninety (90) days prior to the event giving rise to the claim.

Independent Relationship

You acknowledge that your relationship with WhaTalker is that of an independent contractor. This Agreement does not create any employment, agency, partnership, or joint venture relationship. It is the sole responsibility of the affiliate to report and pay any taxes on commissions earned and to comply with all legal obligations within their jurisdiction.

WhaTalker Affiliate Program – Commission Policy and Payment Terms

As an affiliate under the WhaTalker Referral Program, you are entitled to receive a 20% commission on Qualified Purchases made by the customers you refer, in accordance with the following terms and commission structure:

Commission by Plan Type

1. Monthly Plans – Standard Affiliates
   If a customer subscribes to a monthly plan, the standard affiliate is eligible to receive a 20% commission for a maximum of four (4) consecutive monthly payments, provided the customer maintains an active subscription without interruptions or cancellations.
   No additional commissions will be earned beyond the fourth month, even if the customer continues their subscription.
2. Annual Plans – Extended Commission
   If a customer pays in full for an annual plan upfront, the affiliate will receive a one-time 20% commission on the total amount paid. This commission covers the full twelve (12) months of the active subscription and is treated as a complete referral payout.
   There will be no recurring monthly payments for annual plans, as the commission is settled in a single event after the validation period is fulfilled.

Validation Period and Eligibility Criteria

All commissions are subject to a mandatory 90-day validation period from the date of the Qualified Purchase. During this time:

• The customer must not cancel, request a refund, or downgrade their subscription.
• The affiliate’s account must remain active and in full compliance with this agreement.

If a cancellation or refund occurs during this period, the commission will be automatically voided without right of appeal.

Key Definitions

• Qualified Purchase: The first valid and confirmed purchase of a paid subscription to any official WhaTalker product or service by a referred customer who was not previously a customer, and who maintains an uninterrupted, refund-free subscription for at least 90 days.
• Referred Customer: A new user who accesses WhaTalker via the affiliate’s unique referral link and completes a Qualified Purchase.
• Standard Affiliate: An approved participant in the Affiliate Program without Premium status.

Payments and Thresholds

• Commissions begin to accrue only after the 90-day validation period has passed.
• The minimum payout threshold is $100 USD in accumulated commissions.
• Payments will be issued in U.S. dollars via PayPal, bank transfer, or another method authorized by WhaTalker.
• It is the affiliate’s responsibility to keep their payment and tax information up to date.

WhaTalker is not responsible for delays or errors resulting from inaccurate information provided by the affiliate.

Affiliate Tax Obligations

The affiliate is solely responsible for reporting and paying any taxes, fees, or fiscal obligations resulting from commissions earned through the Program. The affiliate agrees to hold WhaTalker harmless from any claims, penalties, or liabilities arising from failure to fulfill these obligations.

Referral Tracking and Attribution

Each affiliate will receive a unique referral link or code to be used in their promotional efforts. WhaTalker’s affiliate management system tracks visits, sign-ups, and sales generated through this link.

Referrals are typically attributed within a cookie window (e.g., 30 days) from the user’s initial visit. If the customer returns later without using the link, the commission may not be credited.

Please note:

• Tracking may be affected if users disable cookies.
• Attribution is only guaranteed when the referral link is used correctly.
• WhaTalker’s tracking records are final and binding for commission purposes.

Reporting and Account Access

Affiliates will have access to a personalized dashboard where they can view:

• Real-time referral statistics
• Commission and payment history
• Click-through and conversion rates
• Promotional assets and announcements

It is the affiliate’s responsibility to regularly review their account and keep their information up to date. In case of discrepancies in reported earnings, written notice must be submitted within 15 business days. WhaTalker is not obligated to review claims submitted after this period.

Use of WhaTalker Brand and Resources

Affiliates are granted a limited, non-exclusive, and non-transferable license to use WhaTalker’s name, logo, banners, and approved marketing materials strictly for promotional purposes.

The following are prohibited:

• Altering or modifying brand visual elements
• Using the logo in misleading or harmful contexts
• Presenting oneself as an official representative of the company
• Running paid advertising campaigns (e.g., Google Ads) using the brand without explicit permission

All usage must comply with WhaTalker’s brand identity guidelines, which are subject to updates. The company reserves the right to revoke this license at any time.

Affiliate Responsibilities and Agreement Lifecycle – WhaTalker

Affiliate Obligations

As an authorized member of the WhaTalker Affiliate Program, you agree to uphold the integrity of the brand and comply with the following conditions:

• You may not use your own affiliate link to subscribe to WhaTalker on behalf of yourself, your employees, or immediate family members. Self-referrals are strictly prohibited.
• You are responsible for clearly and visibly disclosing on your website, social media platforms, or other promotional channels that your participation in the WhaTalker Affiliate Program constitutes a paid partnership.
• All promotional content must be original or officially authorized by WhaTalker. It is not permitted to reproduce, alter, or redistribute any marketing materials, videos, tutorials, case studies, testimonials, or documents created by WhaTalker without express authorization.

Agreement Duration and Termination

This contract becomes valid as soon as the affiliate is officially accepted into the program and will stay active until it is ended by either party under the following circumstances:

• Termination without cause: Either WhaTalker or the affiliate can end this agreement at any time, for any reason, as long as a written notice is given at least 30 days in advance.

• Termination for breach: Any violation of the terms outlined in this contract may lead to immediate termination without the need for prior notice.

• Termination due to program discontinuation: WhaTalker holds the right to alter, pause, or permanently end the Affiliate Program at its discretion. In such events, a minimum notice period of 30 days will be provided to the affiliate.

WhaTalker may suspend or terminate your participation at any time, with or without cause, by written notification. Common reasons for termination include:

• Violation of any provision of this Agreement
• Misrepresentation of WhaTalker’s services
• Fraudulent, unethical, or unlawful behavior
• Harm to the brand image or reputation of WhaTalker

You may also withdraw from the Program at any time by submitting a written request. Upon termination, you must immediately discontinue the use of affiliate links.

Effects of Termination

If the Agreement is terminated voluntarily by the affiliate or due to a breach of its terms, WhaTalker will pay any outstanding commissions accrued up to the effective date of termination.

If the Agreement is terminated without cause by WhaTalker or due to the discontinuation of the Affiliate Program, you will remain entitled to receive commissions for all Qualified Purchases made by referred customers prior to the end of the 30-day notice period, in accordance with the current payment policy.

Upon termination, all rights and obligations between both parties will cease, except for those explicitly stated to survive termination. Additionally, you must immediately remove all references to WhaTalker from your platforms, including affiliate links and registration forms related to the program.

Legal Notice, Liability, and Program Terms – WhaTalker Affiliates

Disclaimer of Warranties

The WhaTalker Affiliate Program and all related services are provided “as is” with no express or implied warranties of any kind. WhaTalker does not guarantee continuous availability, revenue generation, or fitness for any particular purpose. This includes, but is not limited to, any implied warranties of merchantability, performance, or non-infringement.

To the fullest extent permitted by applicable law, WhaTalker disclaims all liability arising from the use of or participation in the Program. The affiliate assumes full responsibility for how they promote WhaTalker, and no compensation will be granted for losses, business expectations, or early termination of this Agreement.

Scope of Financial Liability

WhaTalker shall not be liable to you or any third party for any incidental, indirect, consequential, punitive, or special damages, including—but not limited to—loss of business, revenue, operational disruptions, reputational harm, or data loss, whether foreseeable or not.

WhaTalker’s total financial liability, regardless of cause, shall in no case exceed the total amount of referral commissions paid or payable under this Agreement at the time a claim is submitted.

Cookie-Based Tracking Conditions

When a user clicks on your affiliate link, a tracking cookie is placed with a 90-day duration to associate the user with your referral.

If that cookie is deleted, blocked, expires, or is otherwise invalidated for reasons beyond WhaTalker’s control, and the user makes a purchase afterward, you will not be entitled to receive a commission for that transaction. Accurate commission attribution is technically dependent on the functionality of tracking cookies.

Terms Update and Policy Review

WhaTalker may amend this Agreement at any time. Any changes will be communicated via official announcement or email notification.

Once notified, you will have the option to:

• Accept the revised terms and continue participating in the Program, or
• Decline the changes and opt out of the Program within fifteen (15) calendar days of receiving notice.

Continuing to promote WhaTalker after this period will be considered full and voluntary acceptance of the updated terms.

Compliance, Jurisdiction, and Legal Relationship – WhaTalker Affiliate Program

Restricted Territories and International Sanctions Compliance

In accordance with international trade laws and sanctions imposed by the United States and other regulatory bodies, WhaTalker strictly prohibits account registration, access to services, and participation in its Affiliate Program from or within jurisdictions subject to trade embargoes or commercial restrictions.

WhaTalker does not authorize any individual, company, or organization to register or operate an account if located in or conducting business from any of the following countries:

• Cuba
• Iran
• North Korea
• Syria
• Sudan

Independent Contractual Relationship

Your participation in the WhaTalker Affiliate Program is established under a non-exclusive, independent contractor relationship. This Agreement does not constitute a partnership, joint venture, employment relationship, or agency between you and WhaTalker.

You are not authorized to represent or legally bind WhaTalker under any contract, nor vice versa. Both parties operate independently and are fully responsible for their respective obligations and actions.

Compliance with Applicable Laws and Regulations

As an affiliate, you agree to operate in full compliance with the laws and regulations applicable in your country or region, including but not limited to:

• Data privacy and protection laws
• Advertising and marketing regulations
• E-commerce and consumer rights legislation
• Information security standards

You also agree to cooperate in good faith with any reasonable request from WhaTalker related to audits, legal proceedings, or regulatory compliance by providing the necessary information or assistance.

Jurisdiction, Legal Entity, and Governing Law – WhaTalker Agreement

Contracting Entity

All services provided under the WhaTalker Affiliate Program are currently operated and administered exclusively by:

Regardless of your country of residence, all contractual relationships, including your participation in the Affiliate Program, are established with WhaTalker Inc., headquartered in the State of Delaware, United States.

Governing Law and Jurisdiction

By joining and participating in the WhaTalker Affiliate Program, you expressly agree that this Agreement and any related matters shall be governed and interpreted in accordance with the laws of the State of Delaware, United States of America.

This Agreement excludes the application of any conflict-of-law principles that might permit the use of laws from another jurisdiction.

You also irrevocably agree to submit to the exclusive jurisdiction of the courts located in Dover, Delaware for the resolution of any dispute, claim, or legal proceeding arising directly or indirectly from this Agreement.

Final Provisions and Entire Agreement – WhaTalker

Entire Agreement

This document constitutes the complete and binding agreement between you and WhaTalker Inc., and supersedes all prior proposals, communications, or agreements, whether oral or written, relating to the subject matter herein.

No modification, waiver, or amendment to any provision of this Agreement shall be valid unless made in writing and signed by both parties.

General Terms

You may not assign, transfer, or delegate any of your rights or obligations under this Agreement, whether by law or otherwise, without the prior written consent of WhaTalker.

You further agree not to register or use any trademarks, brand visuals, or domain names that are identical or confusingly similar to those owned by WhaTalker, including variations that may mislead others about your affiliation with the company.

WhaTalker’s failure to enforce any provision of this Agreement shall not be construed as a waiver of its right to enforce it in the future.

If any provision of this Agreement is found to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect and shall be interpreted to best reflect the original intent of the parties.
